1. Acceptance of Terms

Welcome to SoberQuest! These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Studio Noo ("we," "our," or "us") governing your access to and use of the SoberQuest mobile application (the "App").

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, do not download, install, or use the App.

2. Eligibility

Age Requirement

You must be at least 17 years of age to use SoberQuest. By using the App, you represent and warrant that you meet this age requirement.

Legal Capacity

You represent and warrant that you have the legal capacity to enter into these Terms and that your use of the App complies with all applicable laws and regulations.

3. License and Permitted Use

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your personal mobile device solely for your personal, non-commercial use.

Restrictions

You agree NOT to:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Rent, lease, loan, sell, sublicense, or distribute the App
• Remove or alter any proprietary notices or labels on the App
• Use the App for any illegal or unauthorized purpose
• Use the App in any way that could damage, disable, overburden, or impair our servers
• Attempt to gain unauthorized access to any portion of the App
• Use any automated system to access the App
• Share your account or subscription with others

4. Medical Disclaimer

Not Medical Advice

IMPORTANT: SOBERQUEST IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

The App is designed to assist users in tracking their sobriety journey and should be used as a motivational and organizational tool only. The App:

• Does NOT provide medical advice, diagnosis, or treatment
• Is NOT a replacement for professional addiction counseling or therapy
• Does NOT constitute a doctor-patient relationship
• Should NOT be used for medical emergencies

Seek Professional Help

If you are struggling with addiction, please seek help from qualified healthcare professionals, addiction specialists, or counselors. In case of a medical emergency, call emergency services immediately.

No Warranties Regarding Health Outcomes

We make no warranties or guarantees regarding health outcomes, recovery success, or any other medical or health-related results from using the App. Individual results may vary, and the App's effectiveness depends on many factors beyond our control.

User Responsibility

You are solely responsible for your health and recovery journey. You should consult with qualified healthcare professionals before making any decisions related to addiction treatment or recovery.

5. User Content and Data

Your Data

You retain all rights to the data you input into the App, including addiction tracking information, progress records, and personal motivation text ("User Content").

License to Use Your Data

By using the App, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the App's functionality to you.

Data Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

Accuracy of Information

You are responsible for the accuracy and completeness of any information you provide through the App. We are not responsible for any consequences arising from inaccurate or incomplete information.

6. Subscription and Payment Terms

Free Trial

SoberQuest may offer a free trial period for new users. By activating a free trial:

• You authorize us to charge your Apple App Store account at the end of the trial period unless you cancel before the trial ends
• The trial period length will be clearly disclosed before you start the trial
• You can cancel anytime during the trial without charge

Subscription Plans

Following the free trial (if applicable), continued access to premium features requires an active subscription. Subscription details:

• Billing: Subscriptions are billed through your Apple App Store account
• Automatic Renewal: Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current period
• Price: Subscription prices are displayed in the App and may vary by region
• Currency: Charges will be in your local currency as determined by the App Store

Payment Processing

All payments are processed through the Apple App Store. We do not directly process or store your payment information. You agree to abide by Apple's Terms of Service regarding in-app purchases.

Cancellation and Refunds

• Cancellation: You may cancel your subscription at any time through your Apple App Store account settings
• Effect of Cancellation: Cancellation takes effect at the end of your current billing period
• Refunds: Refund requests are subject to Apple's refund policy. We do not directly control refunds for App Store purchases
• No Partial Refunds: We do not provide partial refunds for unused portions of subscription periods

Price Changes

We reserve the right to change subscription prices at any time. Price changes will:

• Not affect your current subscription period
• Be communicated to you in advance
• Take effect for renewal periods following the notice

Subscription Features

Premium subscription features may include:

• Full access to all milestone badges
• Unlimited addiction tracking
• Social sharing capabilities
• Priority customer support
• Future premium features as added

We reserve the right to modify subscription features, but will maintain core functionality for active subscribers.

7. Intellectual Property Rights

Our Rights

The App, including all content, features, functionality, and design elements, is owned by us or our licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Trademarks

SoberQuest and all related logos, names, and marks are our trademarks. You may not use these trademarks without our prior written permission.

Feedback

If you provide us with feedback, suggestions, or ideas about the App ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the App without compensation or attribution to you.

8. Third-Party Services

Apple App Store

Your use of the App is subject to Apple's Terms of Service and Usage Rules. In the event of any conflict between these Terms and Apple's terms, Apple's terms shall prevail regarding your use of the App Store.

Third-Party Integrations

The App may integrate with third-party services, including:

• Superwall: For subscription and paywall management
• Apple StoreKit: For in-app purchases
• Apple Push Notification Service: For notifications

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

Social Media Sharing

The App allows you to share achievements to social media platforms. When you share content:

• You are subject to the terms and policies of the social media platform
• We are not responsible for how social media platforms use or display your shared content
• You should review the privacy settings of your social media accounts

9. User Conduct and Prohibited Uses

You agree to use the App in compliance with all applicable laws and these Terms. Prohibited uses include:

Illegal Activities

• Using the App for any unlawful purpose
• Violating any local, state, national, or international law
• Infringing on intellectual property rights

Harmful Activities

• Transmitting viruses, malware, or other malicious code
• Attempting to interfere with the App's functionality
• Accessing or attempting to access other users' accounts or data

Misrepresentation

• Impersonating another person or entity
• Falsely stating or misrepresenting your affiliation with any person or entity
• Providing false or misleading information

10. Privacy and Data Security

Data Collection

We collect and use your information as described in our Privacy Policy. By using the App, you consent to our data practices as outlined in the Privacy Policy.

While we implement reasonable security measures to protect your data, you acknowledge that:

• No internet transmission is completely secure
• We cannot guarantee the security of information transmitted to or through the App

We retain your data for as long as necessary to provide the App's services and as required by law. You can request data deletion by uninstalling the App or contacting us.

11. App Updates and Changes

Changes to Features

We reserve the right to modify, suspend, or discontinue any aspect of the App at any time, with or without notice. We are not liable for any modifications, suspensions, or discontinuations.

Device Compatibility

The App requires iOS 16.0 or later. We do not guarantee compatibility with all devices or future operating system versions.

12. Termination

Termination by You

You may stop using the App and delete your account at any time by uninstalling the App from your device. Subscription cancellations must be made through your Apple App Store account.

Termination by Us

We reserve the right to suspend or terminate your access to the App at any time, with or without cause or notice, including if:

• You violate these Terms
• We suspect fraudulent, abusive, or illegal activity
• Continuing to provide the App becomes impractical or unlawful

Effect of Termination

Upon termination:

• Your license to use the App immediately terminates
• You must cease all use of the App and delete it from your device
• We may delete your data in accordance with our data retention policies
• Termination does not entitle you to any refund of subscription fees
• All provisions of these Terms that should survive termination shall remain in effect

13. Disclaimers and Warranties

"AS IS" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY
• UNINTERRUPTED OR ERROR-FREE OPERATION
• FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS

No Guarantee of Results

WE DO NOT WARRANT OR GUARANTEE THAT:

• The App will meet your requirements or expectations
• The App will achieve any particular sobriety or recovery results
• The App will be uninterrupted, timely, secure, or error-free
• Any information obtained through the App will be accurate or reliable
• Defects or errors will be corrected

Third-Party Content

We are not responsible for any third-party content, services, or links that may be accessed through the App.

14. Limitation of Liability

Maximum Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

Indirect Damages

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Loss of goodwill or reputation
• Costs of procurement of substitute services

Direct Damages Cap

• Our total liability for all claims arising out of or relating to these Terms or the App shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater

Basis of the Bargain

You acknowledge that these limitations of liability are an essential element of the agreement between you and us, and that we would not provide the App without these limitations.

Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• Your violation of any applicable law or regulation
• Any User Content you provide
• Any dispute between you and another user

16. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

Informal Resolution

Before filing any legal claim, you agree to first contact us to attempt to resolve the dispute informally. We will attempt to resolve disputes through good faith negotiations.

Binding Arbitration

If we cannot resolve a dispute informally within 60 days, any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except:

• Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access
• Small claims court actions may be brought in a court of competent jurisdiction

Class Action Waiver

You agree that any arbitration or legal proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Apple-Specific Terms

Acknowledgments

You acknowledge that:

• These Terms are between you and us, not Apple
• Apple has no obligation to furnish maintenance or support services for the App
• Apple is not responsible for addressing any claims relating to the App or your use of it
• In the event of any third-party claim that the App infringes intellectual property rights, we (not Apple) are responsible for investigation, defense, settlement, and discharge of such claim
• Apple is a third-party beneficiary of these Terms and may enforce these Terms against you

Apple's Terms

Your use of the App must comply with the App Store Terms of Service.

18. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Survival

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Notices

We may provide notices to you via the App, email, or other reasonable means. You consent to receive communications from us electronically.

Language

These Terms are provided in English. Any translations are provided for convenience only. In the event of any inconsistency, the English version shall prevail.

Export Compliance

You agree to comply with all export and import laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. list of prohibited or restricted parties.

20. Acknowledgment

BY USING SOBERQUEST, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE APP.
